designation from the National Association of Certified Valuation Analysts.

Robert G. Hamm - Managing Director, M&A Services
Prior to joining Waterview, Mr. Hamm was the Managing
Director in the Dallas, Texas office of Citi Capital Strategies, Citigroup's middle-market investment banking division. He is a graduate
of Baylor University School of Law and an active member of the Texas State Bar. Mr. Hamm is a Series 7 and 63 Registered Securities
Representative, Series 79 Investment Banking Representative, and Series 24 Registered Securities Principal.

Robert S.
Hill - Managing Director, Growth Capital and M&A Services
Mr. Hill brings more than 25 years of leverage finance and M&A experience. His transaction experience
includes leveraged buyouts, dividend recaps, out-of-court and DIP restructurings, and project asset finance. In conjunction
with these transactions, Mr. Hill has worked with all layers of the capital structure, including private institutional investors,
"family-office" investors, mezzanine capital providers, hedge funds and other alternative capital providers. He
has a BBA in Finance from University of Texas and a MBA from University of North Texas. Mr. Hill is a Series 79 Investment Banking Representative and Series 62 and
63 Registered Securities Representative.

Eric F. Rosenbaum - Managing Director,
M&A Services
Mr.
Rosenbaum has assisted owners and executive management teams in M&A activity since his career began in the late 1980s.
Prior to joining Waterview, he led transaction teams for the lower-middle and middle-market M&A divisions of Citigroup and Smith
Barney for 14 years. Mr. Rosenbaum is Series 79 Investment Banking Representative and a Series 62 and 63 Registered Securities
Representative.

Patrick J. Sullivan - Managing Director, M&A Services
Mr. Sullivan specializes in M&A transactions and corporate strategic advisory projects. He
began his professional career as a corporate attorney, but left legal practice to follow his entrepreneurial interests by
building, growing and selling businesses in such diverse industries as construction, publishing, information technology and
manufacturing. His hands-on operational experience is particularly valuable to Waterview's M&A clients. Mr. Sullivan is a Series
79 Investment Banking Representative and Series 62 and 63 Registered Securities Representative.
