Peter J. Phalon - Senior
Managing Director, Valuation Services Group
Mr.
Phalon assists publicly held corporations and privately held business owners with business transactions and transactional
planning including mergers, acquisitions and divestitures. During his 20 year career, Mr. Phalon has specialized in the valuation
of businesses, business interests, and intangible assets. His assignments have required in depth knowledge of a wide range
of industries, including real estate, healthcare, software services, and financial services.
Mr. Phalon is a Chartered Financial Analysts (CFA), and a Senior Member of the American
Society of Appraisers (ASA) certified in business valuation. Over the course of his career and prior to founding Waterview, Mr. Phalon successfully developed several regional valuation and financial advisory services practices for one
of the world’s largest consulting firms.

Larry S. Starks - Senior Managing Director,
Mergers & Acquisitions Group
Mr. Starks has assisted the owners of closely held companies in
the sale and valuation of their companies since 1985. Over the course of his career, Mr. Starks has worked on well over
150 transactions. Since his appointment as a Managing Director, Mr. Starks has led the successful completion of over
20 transactions and has provided business owners with over $500 million in liquidity. Mr. Starks has structured transactions
as both asset and stock sales using various strategies including tax free reorganizations and private equity sponsored leveraged
recapitalizations. Prior to Waterview, Mr. Starks managed the Southwest Region for the Citigroup Capital
Strategies, the middle market M&A division of Citigroup and Smith Barney. Previously, he was in the Valuation Services
Group of Arthur Andersen & Co.
Mr. Starks received degrees in Finance and Economics from Baylor University. He is a Chartered Financial Analyst (CFA) and a Senior Member (ASA) of the American Society of Appraisers
certified in business valuation. Mr. Starks has authored instructional materials for business valuation classes and was
asked by the AICPA to lecture on the topic of business valuations and transactions to over 300 federal and state judges from
around the United States. Mr. Starks is a past member of the faculty of the National
Center for the Judiciary in Reno, Nevada. In 2002, Mr. Starks was asked
to present a case study on the sale of private companies to the CEO clubs of America. In 2003, Mr.
Starks was featured on the Small Business School Series on PBS regarding his leadership in the sale of International Wine
Accessories. Mr. Starks is also a frequent guest speaker at Baylor University’s
Hankamer School of Business Executive MBA program regarding mergers and acquisitions. Mr. Starks is a Series 62 and 63 Registered
Securities Representative, Series 24 Registered Securities Principal, and a Series 28 Financial and Operations Principal.
